These Terms govern your use of shopclub.ai and the related Shop Club products and services operated by WLTH LLC. Please read them carefully — by using the Services you agree to be bound by them.
Who you're contracting with
These Terms & Conditions ("Terms") are a binding agreement between you and WLTH LLC, a limited liability company doing business as "Shop Club" ("Shop Club," "we," "us," or "our"). By using shopclub.ai, the Shop Club Tools browser extension, our workbooks, the Shop Club Seller Course, the Shop Club Inner Circle, or any related service (collectively, the "Services"), you agree to these Terms. If you don't agree, please don't use the Services.
Eligibility & authority
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. If you're using the Services on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.
The Services
Shop Club offers a marketing website, downloadable workbooks (PDFs) sold through shopclub.ai, the Shop Club Tools browser extension, and links to live auction shows we run on third-party platforms (Whatnot, TikTok). We also offer the Shop Club Seller Course and the Shop Club Inner Circle mentorship, which are hosted and sold by a third-party provider (Thinkific) — those purchases are governed by Thinkific's terms and refund policy in addition to ours. Purchases made directly on third-party platforms (Whatnot, TikTok, Thinkific) are governed by those platforms' terms.
Accounts & credentials
Some Services require an account. You're responsible for keeping your login credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date. Notify us immediately at hello@shopclub.ai if you suspect unauthorized access.
Payments & billing
Digital products offered by Shop Club — including our workbooks, the Seller Course, and the Inner Circle subscription — are sold and billed through Thinkific. By completing checkout you also agree to Thinkific's terms, which govern the payment, billing, tax, invoicing, cancellation, and refund mechanics of your purchase. One-time purchases are charged once at checkout. Subscriptions renew automatically at the interval and price disclosed at checkout until you cancel from your Thinkific account.

Course & content license
When you purchase the Seller Course, the Inner Circle subscription, or a workbook, we grant you a personal, non-exclusive, non-transferable, non-sublicensable license to access and use that content for your own learning and business use. You may not redistribute, resell, sublicense, publicly share, post, mirror, or use the content to train any machine-learning model. You may not share login credentials. Lifetime access for the Seller Course means access for as long as we continue to operate the course; we may discontinue it on reasonable notice.
Acceptable use
You agree not to: (a) use the Services for any unlawful purpose or in violation of any law; (b) commit fraud, abuse, or send spam; (c) infringe anyone's intellectual property or privacy rights; (d) interfere with or attempt to compromise the Services (no malware, probing, vulnerability scanning, scraping, or load testing without permission); (e) reverse engineer, decompile, or attempt to extract source code from the Services or the extension except where allowed by law; (f) resell or commercially redistribute access to the Services; or (g) circumvent any technical limit or access control.
User-submitted content
If you post messages, questions, brand submissions, or other content through the Services (for example, in the Inner Circle community), you keep ownership of that content and grant Shop Club a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display it solely to provide and improve the Services. You're responsible for what you post and represent that you have the rights to post it. We may remove content that violates these Terms.
Intellectual property
All content on shopclub.ai and within the Services — including the Shop Club name, logo, mascot, workbooks, course videos, written materials, software, and the Shop Club Tools extension — is owned by WLTH LLC or its licensors and is protected by copyright, trademark, and other laws. Except for the limited license granted above, no rights are transferred to you. "Shop Club" and related marks are trademarks of WLTH LLC.
Third-party platforms
We link to and operate shows on third-party platforms (Whatnot, TikTok, Instagram, YouTube). Those platforms have their own terms and privacy policies. We're not responsible for those platforms or for transactions you make on them.
Disclaimers
The Services and all content are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, or secure, and we make no guarantees about specific earnings, results, follower counts, sales, or business outcomes from following our content. Live commerce is a real business and your results will vary.
Limitation of liability
To the maximum extent permitted by law, in no event will WLTH LLC, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, revenue, goodwill, data, or business opportunities) arising out of or related to the Services, even if advised of the possibility of such damages. Our aggregate liability for any claims arising out of or related to the Services is capped at the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) USD $100. Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud, gross negligence, or personal injury).
Indemnification
You agree to indemnify, defend, and hold harmless WLTH LLC, its affiliates, and their officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) content you submit; or (c) your violation of any law or third-party right.
Suspension & termination
We may suspend or terminate your access to the Services, in whole or in part, with or without notice, for: (a) material breach of these Terms; (b) non-payment; (c) suspected fraud, abuse, or security risk; (d) extended periods of inactivity; or (e) repeated or serious policy violations. Upon termination, your license to use the Services ends; provisions of these Terms that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.
Changes to the Services or Terms
We may modify or discontinue the Services at any time. We may also update these Terms; when we make material changes we will update the "Last updated" date and, where appropriate, notify you. Continued use of the Services after changes take effect means you accept the updated Terms.
Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction in those courts. Where allowed by law, each party waives any right to a jury trial. This section does not affect any mandatory consumer rights in your country of residence.
Assignment & miscellaneous
You may not assign or transfer these Terms without our written consent; we may assign them in connection with a merger, acquisition, financing, or sale of assets. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Refund Policy and Privacy Policy, are the entire agreement between you and WLTH LLC regarding the Services.
Force majeure
We won't be liable for any failure or delay in performing the Services due to events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility outages, or government action.
